Every money services business operating in the United States must register with the Financial Crimes Enforcement Network (FinCEN) by filing Form 107 through the BSA E-Filing System. Registration is a federal filing obligation under the Bank Secrecy Act — it is free, it is not an approval, and it does not authorise you to operate. Money transmission additionally requires a licence in each state where you serve customers.

Registering with FinCEN is not permission to operate. It is a notification filing. Operating money transmission without the required state licences remains a criminal offence under 18 U.S.C. 1960 regardless of federal registration status.

Who counts as an MSB under federal rules

FinCEN defines five MSB categories. Four carry a $1,000 per person per day activity threshold; money transmission carries no threshold at all — a single transfer of any amount brings the business into scope.

Registration route — not a full authorisation
  • Money transmitter — accepting currency, funds or value that substitutes for currency and transmitting it by any means. No dollar threshold applies.
  • Dealer in foreign exchange — exchanging currency of one country for another for more than $1,000 for any person on any day.
  • Check casher — cashing cheques for more than $1,000 for any person on any day.
  • Issuer or seller of money orders or traveller's cheques — for more than $1,000 for any person on any day.
  • Provider or seller of prepaid access — issuing or selling stored value products, subject to the prepaid access rule's own conditions.
  • The US Postal Service is an MSB by definition; banks and persons registered with the SEC or CFTC are excluded from the MSB definition.

How FinCEN MSB registration is done

The filing itself takes hours. The work that determines whether the business survives an IRS examination happens before and after it.

  1. Confirm you are in scope and identify the categories

    1–2 weeks

    Map each service line against the five MSB categories and the $1,000 daily thresholds. Businesses regularly discover they fall into two or three categories at once, which changes the reporting profile.

  2. Establish the US entity and service-of-process agent

    2–4 weeks

    An MSB must have an agent for service of legal process in the United States and a US location where registration records are held. Foreign-owned applicants usually form a US subsidiary at this point.

  3. Build the AML/CTF compliance programme

    4–8 weeks

    The programme must exist before operations begin, not after. It requires written policies, a designated compliance officer, ongoing employee training, and independent testing of the programme's effectiveness.

    Create the supervisory user account that will be used for both the registration and all subsequent CTR and SAR filings.

    This is the step that actually gates launch. Each state where you serve customers requires its own licence, with its own net worth, surety bond and background checks, mostly filed through NMLS.

Realistic time to launch is set by state licensing, not by the federal filing. A business that budgets weeks because FinCEN registration is quick will miss its launch date by a year or more.

Where the federal route stops

FinCEN registration is the cheapest and fastest part of entering the US payments market. Treating it as the whole regulatory answer is the most common and most expensive mistake foreign fintechs make.

  • Federal registration does not licence money transmission. Operating unlicensed money transmission is a federal felony under 18 U.S.C. 1960, and states prosecute separately.
  • There is no federal money transmitter licence. Coverage is built state by state — 49 states plus DC and several territories licence money transmission.
  • Registration does not confer legitimacy with banks. Many US banks decline MSB relationships outright regardless of registration status.
  • The MSB Registrant Search listing is a record of filing, not a credential. Presenting it to customers or partners as a licence is misleading and has drawn regulator attention.
  • Crypto activity does not escape the framework. Convertible virtual currency exchangers and administrators are money transmitters in FinCEN's view, and several states regulate them separately again.

The federal filing is trivial. The decision that matters is whether you can carry the state licensing programme that follows it.

  • Businesses with a genuine US customer base that can fund a multi-year, multi-state licensing programme.
  • Operators willing to launch in a narrow set of states first and expand licence coverage over time.
  • Payment companies working through a licensed US partner as agent while building their own licence portfolio.
  • Crypto businesses serving US persons that already accept they are money transmitters and are budgeting accordingly.

Not for

  • Businesses looking for a fast, cheap route to a recognisable licence — the US is the opposite of that.
  • Companies whose customers are entirely outside the US; a Canadian or UK registration is usually the better fit.
  • Projects that need EEA market access — no US registration provides it, and PSD2 applies to EEA customers regardless.
  • Businesses that cannot demonstrate a working AML programme before launch, since the programme is a precondition rather than a follow-up task.

Almost all. Every money services business must file FinCEN Form 107 unless it is an MSB solely because it acts as an agent of another MSB. A business that both acts as an agent and conducts MSB activity on its own behalf must register. No, and conflating them is the most costly error in this area. FinCEN registration is a federal anti-money-laundering filing. A money transmitter licence is a state authorisation to conduct the business. You need both: registration satisfies the Bank Secrecy Act, the state licence makes the activity lawful. Operating without the state licence is a felony under 18 U.S.C. 1960 even with a valid federal registration.

Two calendar years. Renewal is due by 31 December of the second calendar year following the initial registration. Re-registration is also required before the renewal date if ownership changes, if more than 10% of voting power transfers, or if the number of agents changes materially.

For transmittals of funds of $3,000 or more, the funds transfer and travel rules require the MSB to obtain and retain specified information about the originator and beneficiary, and to pass that information to the next financial institution in the payment chain. It is a recordkeeping and transmission obligation, distinct from the $10,000 CTR threshold and the $2,000 MSB SAR threshold.

A business doing business in the United States must register, whether or not it has a physical presence there, and must appoint an agent for service of legal process located in the US and keep registration records at a US address. In practice most foreign groups form a US subsidiary, because state licensing and US banking access are difficult to obtain without one.
